FG Nexus Bought Back 46% of Itself. Now It Is Becoming an Affordable Housing Company.

A $10 million stake in FG Communities, a plan to buy land lease communities outright, a new name and a new ticker. After shrinking its share count nearly in half, $FGNX picks a lane.

Two press releases, two days, one very different company. On Monday FG Nexus (Nasdaq: FGNX, FGNXP) said it had now repurchased roughly 4.0 million common shares for about $48 million, which is approximately 46% of the common shares that were outstanding when the buyback program started. On Tuesday its board approved a strategy to acquire affordable housing communities, put $10 million into FG Communities, Inc. for roughly 10% of that company, and change the corporate name to FG Communities Holdings, Inc. The ticker goes from FGNX to FGC, and the 8.00% Series A preferred moves from FGNXP to FGCPP, once Nasdaq signs off and the paperwork is filed. Stockholders do not need to do anything.

Start with the share count, because it explains everything else. As of September 14 the company had 4,707,615 common shares outstanding and 619,357 preferred. The preferred buyback took out about 275,000 shares for roughly $6.9 million, about 31% of that class. Both programs remain authorized and open ended. A company that has retired nearly half its equity in a matter of months is telling you it thinks the stock is cheap, and it is doing so with cash rather than a press release.

Roughly 4.0 million shares retired for about $48 million. That is 46% of the common stock that existed when the program began.

Now the pivot. FG Communities is a self administered, self managed real estate company that buys and runs manufactured housing communities, the land lease model where residents own the home and rent the lot. It currently operates 96 communities with more than 4,000 home sites. FG Nexus will own about 10% of it after the investment, and FG Communities keeps operating independently. Alongside the stake, FG Nexus plans to buy communities directly, funded from cash on hand, debt, and proceeds from common stock issuance. Chairman and CEO Kyle Cerminara called the move “an important step in our transformation into a leading owner and operator of land-lease affordable housing communities,” and put the U.S. affordable housing market at more than $500 billion, large and fragmented, with what he described as a strong pipeline of acquisition opportunities already identified.

The related party angle is disclosed up front. Certain FG Nexus officers and directors, including Cerminara, own equity in FG Communities and sit on its board. Because of that, the investment was reviewed and approved by a Special Committee of independent directors, advised by an independent financial advisor. Investors who follow the FG group of companies will recognize the pattern: Cerminara's Fundamental Global has been rolling related entities into one another for years, and this is the same playbook applied to real estate.

Then there is the ownership table, which is where this stock gets unusual for a $40 million market cap. Joe Moglia, the former TD Ameritrade CEO and Coastal Carolina head football coach, holds 630,500 shares across Moglia Capital LLC and two family trusts, per a Schedule 13G/A filed August 17. On the August share count that was 7.80% plus 3.98% plus 0.59%, a bit over 12%. On today's smaller count it is closer to 13%. Officers and directors as a group held 360,251 shares, about 5.4%, per the April proxy, before the latest round of buybacks shrank the denominator. Add it up and something like a fifth of the company sits with insiders and one very well known outside holder, and the float that is left is small.

This is the second act for a company that spent 2025 as a digital asset treasury play. In July it announced it would exit that business and stand up a real estate division; Tuesday's release is that plan becoming concrete. The bear case writes itself: acquisitions have to actually close, financing has to be available on acceptable terms, leverage has to be managed, and the conflicts of interest have to stay managed too. The company lists every one of those in its forward looking statements. The bull case is simpler. Manufactured housing is one of the few asset classes where demand is structural, supply is constrained by zoning, and cap rates still make sense, and FG Nexus is walking in with a shrunken share count, a partner that already runs 96 communities, and a board that has been buying the stock.

The desk take: most microcaps announce a pivot and hope the market gives them credit. This one shrank the share count first, then announced the pivot, then put money into an operator with a decade of communities under management. Whether FGC ends up worth more than FGNX is the market's call. But the cap table is not one a short seller wants to argue with.
